These Terms of Service ("Terms") are a legal agreement between you (a business subscribing to the platform, "you," "your," "Customer") and Karfis LLC ("Karfis," "we," "us," "our"), governing your access to and use of karfisllc.com, your branded subdomain or connected domain, the admin back office, and any related booking, dispatch, and billing tools (together, the "Service"). By creating an account, signing up for a subscription, or using the Service, you agree to these Terms. If you're agreeing on behalf of a company, you're confirming you have authority to bind that company.
Karfis builds and hosts software for independent chauffeur and limousine operators: a public booking website, a reservation and dispatch backend, billing tools, and optional marketing services. Add-on services — managed dispatching and custom CRM development — are scoped and priced separately when you request them.
Karfis is a software provider, not a transportation company. We do not operate vehicles, employ or contract drivers, set your rates beyond what you configure, or provide chauffeur services to anyone. You are solely responsible for your own business: holding the licenses, permits, and insurance your jurisdiction requires; vetting and managing your drivers and vehicles; and actually fulfilling every ride booked through the Service.
The Service is billed as a flat monthly subscription plus a one-time setup fee, at whichever tier you sign up for:

You own your business's branding, content, and the data about your own vehicles, drivers, rates, and bookings. You're granting us only the license we need to host and operate the Service on your behalf.
When your riders book through your website or app, they're giving their personal information (name, contact details, pickup/drop-off locations) to your business, not to Karfis. You are the data controller for your riders' information; we process it on your behalf, as a service provider, solely to operate the platform for you. You're responsible for having your own rider-facing privacy notice and for complying with whatever privacy laws apply to your business and your customers. We work to keep the Service reliably available, but as an early-stage company we don't currently guarantee a specific uptime percentage or offer service credits. We'll give notice of planned maintenance where we reasonably can, and we'll tell you promptly about any incident affecting your account.
The Service is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or completely secure.
To the extent the law allows, Karfis will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from your use of the Service. Our total liability to you for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months before the claim arose.
Nothing in these Terms limits liability for something that can't be limited under law, such as gross negligence or willful misconduct.
You agree to indemnify and hold Karfis harmless from any claim, damage, or expense (including reasonable legal fees) arising from your use of the Service, your provision of transportation services, your violation of these Terms, or your violation of any law or third party's rights — including any claim brought by one of your own riders or drivers.
The Service relies on third-party providers — including Stripe for payment processing and mapping/routing providers for distance-based pricing. Your use of the Service is also subject to those providers' own terms where applicable, and we're not responsible for their outages or errors.
We may update these Terms as the Service evolves. We'll post the updated version here with a new "Last updated" date, and for material changes, we'll make a reasonable effort to notify you directly (for example, by email). Continuing to use the Service after a change takes effect means you accept the updated Terms.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules, and any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Texas.
